1. Acceptance and electronic record
These Terms of Service ("Terms") form a legally binding agreement between you ("you", "User") and GSS Group of Companies, an Indian unincorporated entity operating the Zlash service ("Zlash", "we", "us").
This is an electronic record under the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. It does not require a physical or digital signature. By creating an account, by ticking the consent boxes during onboarding, or by using any feature of the Service, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. What Zlash is — and what it is not
Zlash is a price intelligence and payment-scenario calibration tool. Specifically:
- We discover the live listed price for a product across multiple Indian online retailers.
- For each retailer we compute an effective price by applying the bank, card, and wallet offers that match the payment instruments you have told us you hold (your "wallet", see §4).
- We rank these effective prices and surface the best option, plus alternative scenarios (no-cost EMI, exchange offers, partner offers).
- When you tap "Visit" on a result, we open the merchant's page in your browser or in-app browser. We are not a party to the resulting transaction.
Zlash is therefore an "intermediary" within the meaning of the IT Act, 2000 §2(w) and IT Rules 2021. We do not buy, sell, store, fulfil, or ship any goods. We do not earn commissions or fees from merchants for click-outs (any future affiliate relationships will be disclosed prominently on each result).
Zlash is not:
- An e-commerce marketplace
- A payment system operator under the Payment and Settlement Systems Act, 2007
- A non-banking financial company (NBFC), bank, or financial advisor
- A registered investment advisor or research analyst with SEBI
- A credit rating agency or credit information company
3. Eligibility
To use the Service, you must:
- Be at least 18 years of age and competent to contract under the Indian Contract Act, 1872.
- Be located in India. The Service is currently offered to Indian residents only.
- Not be a person debarred from receiving services under any applicable Indian law, sanctions list, or court order.
- Comply with all applicable laws when using the Service.
We may refuse, suspend, or terminate your account if we reasonably believe you do not meet these conditions, with or without notice.
4. The Wallet — what we ask for and what we do not
Calibrating effective prices needs to know which card-linked offers apply to you. To do that, we ask only for two pieces of information per instrument:
- The bank (e.g. HDFC, ICICI, Axis)
- The card type (credit, debit, UPI, EMI, BNPL)
We do not ask for, accept, store, or have any way to read your card number, CVV, expiry, name on card, billing address, OTP, or UPI PIN — at any point, for any reason, even on the support flow. Anyone claiming to represent Zlash and asking for these is impersonating us; report them to gss@zlash.ai immediately.
You may add, remove, or replace any wallet entry at any time from the Wallet picker. The change takes effect on your next search.
5. Price accuracy — important disclaimer
Read this section carefully. It limits what you should rely on when making a purchase.
The prices, offer descriptions, savings calculations, EMI tenures, and rewards shown by Zlash are indicative. They are derived from third-party merchant pages and bank offer terms that change frequently and without notice. By the time you tap "Visit" and complete a transaction at the merchant's checkout:
- The price shown by the merchant may be different from what we displayed.
- The bank or card offer may have a minimum cart value, maximum discount cap, eligibility window, or specific card-variant restriction that we did not detect or that you do not meet.
- Stock status may have changed.
- Pincode-based delivery, COD, and same-day-delivery flags may not apply.
You are solely responsible for verifying the final price, terms, and eligibility on the merchant's checkout page before paying. Zlash is not liable for any difference between our displayed effective price and the actual price you pay.
We make best efforts to refresh data frequently and to flag results that come from cache (the small "cached Nh" badge on the per-site card). When we cannot fetch a price for a site, we say so explicitly rather than guess.
6. Transactions you make at merchant sites
When you click "Visit", you leave the Zlash service and enter into a direct contractual relationship with the merchant. The merchant's terms, return policy, warranty, refund policy, shipping, customer service, and dispute resolution apply to that transaction.
Zlash has no role in:
- Order placement, payment processing, fulfilment, shipping, or delivery
- Returns, refunds, replacements, exchanges, or warranty claims
- Disputes between you and the merchant — including non-delivery, defective product, wrong product, or any other complaint
You agree not to make Zlash a party to, or seek any remedy against Zlash for, any dispute arising from your transaction with a merchant.
7. Free service and quotas
The live Zlash Price Intelligence service is free to use, subject to a daily quota on free searches. You will see a "remaining searches" counter as you approach the limit. When you exhaust the quota you can wait for the next refresh window. Zlash does not currently collect payments through the live Price Intelligence service. If a paid tier is introduced in the future, separate tier-specific terms will be published and you will be asked to opt in before any charge.
8. No payments through Zlash
Zlash Price Intelligence does not process payments. When you tap "Visit" and decide to buy a product, payment happens directly on the merchant's website or app under that merchant's checkout, payment, refund, and customer-support terms.
Zlash does not ask for, collect, store, or process card numbers, CVV, expiry, OTP, UPI PIN, full UPI ID, bank-account details, or payment authorization credentials.
For payment failures, double charges, refunds, delivery issues, or order disputes, contact the merchant or the payment provider used on the merchant checkout. Zlash is not the payment counterparty.
9. Acceptable use
You agree not to:
- Use the Service for any unlawful, fraudulent, or harmful purpose, including money laundering, financing of terrorism, or violation of sanctions.
- Scrape, mirror, frame, or otherwise systematically copy our content, including via automated means, without our written consent.
- Reverse-engineer, decompile, disassemble, or attempt to derive source code from the Service, except to the extent expressly permitted by law.
- Bypass our rate limits, integrity checks (Play Integrity / App Attest), cert pinning, or any other technical measure.
- Submit content (in feedback or reviews) that infringes third-party intellectual property, defames any person, or violates Indian law.
- Use the Service to harvest, sell, or distribute personal data of others.
- Interfere with the operation of the Service, including via denial-of-service attacks, malware, or any attempt to circumvent our security controls.
- Transmit information that is false, misleading, defamatory, obscene, or unlawful under §3(1)(b) of the IT Rules 2021.
We may, with or without notice, suspend or terminate your account, withhold features, or take any other action we consider proportionate to address a breach of this section. Where we are required by law to retain or disclose data relating to your breach, we will do so.
10. Intellectual property
The Zlash software, design, logo, brand, the structure and presentation of the comparison results, the algorithms that compute effective prices and rank results, all derivative analytics, and all related copyrights, trademarks, patents, trade dress, and trade secrets are the property of GSS Group of Companies and its licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for personal non-commercial purposes only.
Trademarks, product names, and merchant logos shown in the Service belong to their respective owners. Their appearance on Zlash is purely for identification and informational purposes (nominative fair use) and does not imply endorsement or partnership unless we say so explicitly. For trademark removal or correction requests, write to gss@zlash.ai.
11. Feedback you submit
If you submit suggestions, ideas, or feedback through the Service or via email, you grant us a perpetual, worldwide, royalty-free, irrevocable licence to use, copy, modify, and incorporate that feedback into the Service without obligation to compensate you. We will not associate your feedback with personally identifying information unless you explicitly ask us to.
12. Third-party services and content
The Service displays content from third parties (merchants, banks, payment partners) and integrates with third-party services (Supabase, Sentry, PostHog, Google, Apple, AI providers). We are not responsible for the availability, accuracy, security, or content of those third-party services. Your use of any third-party service through the Zlash Service is governed by that service's own terms, which we encourage you to read.
13. Warranty disclaimer
The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including without limitation any warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. To the maximum extent permitted by law, we disclaim all implied warranties. We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses; that any defects will be corrected; or that any prices, offers, or other content displayed will be accurate, complete, or current.
14. Limitation of liability
To the maximum extent permitted by law, Zlash and its officers, directors, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, loss of revenue, loss of data, loss of opportunity, loss of goodwill, or business interruption, arising from or related to your use of the Service, even if Zlash has been advised of the possibility of such damages.
Zlash's aggregate liability to you arising from or related to the Service in any 12-month period shall not exceed the higher of (a) the amounts you have paid to Zlash for the Service in that 12-month period, or (b) ₹1,000 (one thousand Indian Rupees).
Nothing in these Terms limits Zlash's liability for fraud, gross negligence, wilful misconduct, or any other liability that cannot be excluded under Indian law (including under the Consumer Protection Act, 2019).
15. Indemnification
You agree to indemnify and hold Zlash and its officers, directors, employees, and affiliates harmless from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from (a) your breach of these Terms, (b) your violation of any law or third-party right, (c) your misuse of the Service, or (d) any content you submit through the Service. We will notify you of any such claim and may, at our option, assume the defence of the claim with counsel of our choosing.
16. Suspension and termination
You may stop using the Service at any time and may delete your account from the Privacy & data screen.
We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, the law, or have engaged in conduct that risks harm to other users, Zlash, or third parties. Where suspension is for our investigation of a possible violation, we will restore access promptly if our investigation does not substantiate the violation.
Sections 5, 6, 9, 10, 13, 14, 15, 17, 18, and any other provisions which by their nature should survive, will survive termination.
17. Modifications
We may modify these Terms at any time. Material modifications will be notified to you by email and via an in-app banner at least 7 days before they take effect. Continued use of the Service after the effective date constitutes acceptance. Where a modification adversely affects your rights and you do not accept it, your sole remedy is to stop using the Service and delete your account.
18. Governing law and dispute resolution
These Terms are governed by the laws of India.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service (a "Dispute") shall be resolved as follows:
- Good-faith negotiation. The party raising the Dispute shall send a written notice to the other party at the contact address listed in §20. The parties shall negotiate in good faith for 30 days.
- Arbitration. If the Dispute is not resolved within 30 days, it shall be referred to and finally resolved by arbitration administered under the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties; failing such mutual appointment, by an arbitrator appointed in accordance with the Act. The seat and venue of arbitration shall be Mumbai, Maharashtra, India. The language shall be English. The award shall be final and binding on both parties.
- Jurisdiction for interim relief. The courts at Mumbai, Maharashtra, India shall have exclusive jurisdiction for any application for interim or conservatory measures and for the enforcement of any arbitral award.
Nothing in this section affects your statutory rights as a consumer under the Consumer Protection Act, 2019, including your right to file a complaint before a consumer commission.
19. Miscellaneous
- Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.
- Waiver. Failure to enforce any right is not a waiver of that right.
- Assignment. You may not assign these Terms. We may assign them to an affiliate or to a successor in connection with a merger, acquisition, or sale of assets, in which case we will provide reasonable notice.
- Entire agreement. These Terms together with the Privacy Policy and any tier-specific terms (if and when a paid tier is launched) constitute the entire agreement between you and Zlash regarding the Service.
- Force majeure. Neither party is liable for failure to perform due to events beyond reasonable control, including natural disasters, governmental action, war, terrorism, pandemic, civil disturbance, or telecommunications failures of upstream providers.
